Acceptance of Terms

ITIDIRECTMAIL.NET is owned by Information Technologies Inc., dba ITI Direct Mail (collectively, "ITI"). "ITI" includes Information Technologies, Inc., its affiliates, subsidiaries, and parent companies. ITIDIRECTMAIL.NET is provided for use by ITI's current and potential customers.

By accessing or using ITIDIRECTMAIL.NET, placing an order, requesting that ITI place an order on your behalf, submitting artwork, files, mailing lists, payment information, or other order information, approving a proof, purchasing a mailing list, or otherwise using ITI's products or services, you agree to be bound by these Terms and Conditions and ITI's Privacy Policy on behalf of yourself and any business, organization, or other entity you represent.

Orders may be placed directly through the website or may be assisted, entered, or processed by ITI personnel based on information, files, payment details, or instructions provided by you by email, telephone, document-signing system, proofing system, or other communication method. In all cases, your submission of order materials or instructions, payment or authorization of payment, approval of a proof, or continued use of ITI's products or services confirms your acceptance of these Terms and Conditions.

If you do not agree to these Terms and Conditions, do not use the website, place an order, submit files or mailing lists, approve a proof, provide payment information, or request services from ITI.

ITI may make future changes or modifications to these Terms and Conditions at any time. Changes will be posted on ITIDIRECTMAIL.NET with an updated effective date or last updated date. Your continued use of ITIDIRECTMAIL.NET, placement of an order, submission of files or mailing lists, approval of a proof, authorization of payment, or use of ITI's products or services after the effective date of any change constitutes your acceptance of the revised Terms and Conditions. If you do not agree to the revised Terms and Conditions, you must stop using the website and ITI's products and services.

 

Privacy Policy

Your use of ITIDIRECTMAIL.NET is also governed by ITI's Privacy Policy, which is incorporated into these Terms and Conditions by reference. ITI's collection, use, disclosure, and handling of personal information is described in the Privacy Policy. California residents may have additional rights regarding their personal information under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), as described in the Privacy Policy.

 

Payment Terms

All orders must be paid in full, including all product, printing, mailing, postage, list, and other applicable charges, before ITI will begin any work on the order, including artwork setup, file review, proofing, list processing, printing, or mailing preparation. ITI does not extend credit or begin processing on unpaid or partially paid orders.

ITI accepts major credit cards, checks, ACH/electronic check payments, bank wire transfers, and other forms of electronic payment. Accepted payment methods may change from time to time; customers should contact ITI to confirm currently accepted payment methods before placing an order.

Payments made by personal check or business check are subject to a five (5) business day hold from the date of deposit. ITI will not begin processing the order, including proofing, artwork setup, or production, until the check clears and funds are confirmed. ITI is not responsible for any production delays resulting from check holds.

ACH and electronic check payments are subject to a hold period. ITI will not begin processing the order until the ACH payment is confirmed and funds are verified. The hold period for ACH payments may vary; customers should contact ITI for current hold times.

All payments must be received and cleared before ITI begins any work. Submission of an order and payment constitutes your authorization for ITI to charge the payment method provided. If a payment is declined, reversed, charged back, or otherwise fails to clear, ITI reserves the right to cancel the order, suspend processing, and pursue collection of any amounts owed, including costs incurred by ITI prior to the payment failure.

If you initiate a chargeback or payment dispute with your credit card issuer, bank, or payment processor for any charge that ITI believes was valid and authorized, ITI reserves the right to dispute the chargeback, suspend or terminate your account, cancel any pending orders, and pursue collection of the full amount owed, including any chargeback fees, processing fees, and reasonable attorneys' fees incurred by ITI in connection with the dispute. By submitting an order and authorizing payment, you agree that charges authorized by you for orders placed, approved, or requested by you are valid, and that you will contact ITI directly to resolve billing concerns before initiating a chargeback or payment dispute when reasonably possible.

Orders that are in production, have been printed, are in mailing preparation, or have been tendered to USPS, a carrier, or a commingling provider at the time a chargeback is initiated are non-refundable, except as required by applicable law or as otherwise determined by ITI in the event of a verifiable ITI production error. Initiating a chargeback does not constitute a valid cancellation of an order and does not relieve you of your obligation to pay for work performed, materials used, postage incurred, or services rendered by ITI.

If a check or ACH payment is returned for non-sufficient funds, a closed account, a stop payment, or any other reason, a returned payment fee of $55.00 will be charged in addition to any fees charged by ITI's bank or payment processor. ITI reserves the right to require future payments by certified check, money order, wire transfer, or credit card only, and to cancel or suspend any pending or future orders until all outstanding balances and fees are paid in full.

From time to time, ITI may enter into special prepayment arrangements with specific customers. Any refund of unused prepayment balances under such arrangements is subject to repricing of prior orders at applicable quantity rates and an administrative fee, as specified in the applicable prepayment agreement or, if no written prepayment agreement applies, based on ITI's then-current pricing, costs incurred, and administrative fee policy.

 

Disclaimer of Warranty

ITIDIRECTMAIL.NET, its content, and all products and services available on this site are provided "as is" and without warranty of any kind, either express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Without limiting the foregoing, ITI makes no warranty that the content, products, or services available on this site will meet your requirements; that the results obtained from use of the content, products, or services will be effective, accurate, or reliable; or that the quality of any content, products, or services will meet your expectations.

Some jurisdictions limit or do not allow the disclaimer of implied or other warranties, so the above disclaimer may not apply to the extent the law of such jurisdiction applies to your purchase of products or services.

ITI makes no warranty regarding the delivery speed, delivery success rate, response rate, marketing results, or other results of mail campaigns once items are tendered to USPS, a shipping carrier, a commingling provider, or any other third-party mailing or transportation provider.

 

Limitation of Liability

To the fullest extent permitted by law, ITI and its parent companies, subsidiaries, affiliates, officers, directors, shareholders, employees, agents, suppliers, and representatives will not be liable to you or any person or entity claiming through you for any loss of profits, loss of business, loss of use, lost business opportunity, lost marketing impact, loss of data, or any incidental, indirect, special, consequential, exemplary, or punitive damages, whether based on contract, tort, negligence, product liability, strict liability, or any other legal theory, even if ITI or its affiliates have been advised of the possibility of such damages.

ITI's sole and maximum liability, and your sole and exclusive remedy, for any claim arising out of or relating to the website, an order, printed products, mailing services, mailing lists, proofs, customer content, or any products or services provided by ITI, shall be limited to the amount actually paid by you to ITI for the specific order giving rise to the claim.

ITI is not liable for lost business opportunities, lost marketing impact, customer response rates, campaign performance, USPS performance failures, carrier delays, shipping delays, mailing delays, undeliverable mail, address inaccuracies, or errors, delays, or handling issues caused by USPS, shipping carriers, commingling providers, drop-shipping providers, customer-supplied information, or other third parties.

No ITI employee, sales representative, customer service representative, or other representative is authorized to modify this limitation of liability unless the modification is in a written agreement signed by an authorized officer of ITI.

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so the above limitations and exclusions may not apply to you to the extent the law of such jurisdiction applies to your purchase of products or services.

 

Copyright Notice

All content included on ITIDIRECTMAIL.NET, including without limitation text, information, data, software, photographs, graphics, images, illustrations, maps, designs, templates, icons, typefaces, written materials, and compilations, is owned by ITI or its third-party providers, licensors, or content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

Except as expressly permitted by these Terms and Conditions or by written permission from ITI, no content from ITIDIRECTMAIL.NET may be copied, reproduced, stored, downloaded, modified, published, distributed, transmitted, displayed, sold, licensed, or otherwise used in any form, media, or technology now known or later developed.

 

Your Use of Our Website

ITI grants you a limited, revocable, non-exclusive, non-transferable right to access and use ITIDIRECTMAIL.NET and its content solely for legitimate business or personal purposes related to reviewing, quoting, ordering, purchasing, approving, or managing ITI products and services, submitting customer content, communicating with ITI, or otherwise using features made available by ITI.

You may not copy, download, retain, publish, distribute, modify, reproduce, sell, license, or otherwise use any portion of the website or its content except as expressly permitted by these Terms and Conditions or by written permission from ITI.

 

Account Registration and Security

Certain features of ITIDIRECTMAIL.NET, including placing orders, uploading files, approving proofs, purchasing mailing lists, and managing your account, may require you to register for an account. When registering, you agree to provide accurate, current, and complete information and to update that information as necessary to keep it accurate, current, and complete.

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activity that occurs under your account. You agree to notify ITI immediately if you become aware of any unauthorized access to or use of your account. ITI is not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to safeguard your credentials.

ITI reserves the right to suspend or terminate your account at any time, with or without notice, if ITI believes you have violated these Terms and Conditions, provided false registration information, failed to pay amounts owed, or engaged in any activity that is harmful to ITI, other customers, or third parties.

You may not share, transfer, or assign your account to any other person or entity without ITI's prior written consent. Each account is for the use of the registered customer only.

 

User Restrictions

You may use ITIDIRECTMAIL.NET only to make legitimate requests, obtain pricing, place orders, submit customer content, approve proofs, purchase products or services, communicate with ITI, or use other features made available by ITI.

You may not use the website to place false, fraudulent, unauthorized, or speculative orders; submit false or misleading information; impersonate any person or entity; use another person's or entity's payment information without authorization; interfere with the operation of the website; or engage in any activity that violates these Terms and Conditions or any applicable law.

You are responsible for ensuring that all information, files, artwork, mailing lists, payment information, shipping information, billing information, and instructions you provide to ITI are accurate, complete, authorized, and lawful.

You are solely responsible for ensuring that all mail pieces, offers, advertisements, claims, communications, and mailing campaigns created, approved, authorized, or submitted by you comply with all applicable federal, state, and local laws, regulations, and postal requirements, including without limitation the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), the Federal Trade Commission Act, USPS regulations and postal standards, applicable state privacy and marketing laws, and any industry guidelines governing direct mail, advertising, or commercial solicitations.

ITI does not review customer mail pieces, offers, or communications for legal compliance. ITI's production and mailing of a mail piece does not constitute ITI's endorsement, approval, or verification of the legality, accuracy, or appropriateness of the content, offer, or communication. You are solely responsible for the legality and compliance of all content ITI produces or mails on your behalf.

ITI reserves the right to refuse, reject, or cancel any order at ITI's sole discretion, without liability to you. Without limiting the foregoing, ITI does not produce or mail content related to tobacco products, firearms or weapons, alcohol, marijuana or cannabis products, sexually explicit or adult material, or other content that ITI determines, in its sole discretion, to be objectionable, inappropriate, or inconsistent with ITI's production standards. Nothing in these Terms and Conditions obligates ITI to review, screen, or inspect customer content for compliance with this or any other policy, and ITI's decision to produce or mail any particular content does not constitute a waiver of ITI's right to refuse future orders. If ITI refuses or cancels an order, ITI may refund any unearned amounts paid by the customer, less any work already performed, third-party costs, non-refundable charges, or costs committed by ITI before the refusal or cancellation.

 

Security

You may not violate or attempt to violate the security, integrity, or proper operation of ITIDIRECTMAIL.NET, its servers, systems, networks, accounts, forms, checkout processes, proofing systems, file upload systems, or related services.

Prohibited activity includes, without limitation: accessing or attempting to access data, accounts, systems, or areas of the website that you are not authorized to access; probing, scanning, or testing the vulnerability of any system or network without authorization; bypassing or attempting to bypass security or authentication measures; submitting viruses, malware, malicious code, corrupted files, or harmful content; overloading, flooding, spamming, mailbombing, crashing, scraping, or otherwise interfering with the operation of the website or services; using bots, crawlers, scrapers, automated tools, or other data-extraction methods except as permitted by ITI; forging headers, communications, or other identifying information; or impersonating ITI, the website, another customer, or any other person or entity.

You may not send unauthorized emails, promotions, advertisements, or other communications on behalf of ITI or in a manner that suggests they are sent or approved by ITI. Violations of system or network security may result in suspension or termination of access, cancellation of orders, refusal of service, and civil or criminal liability.

 

Third-Party Websites and Services

ITIDIRECTMAIL.NET may contain links to websites, platforms, tools, payment processors, proofing systems, document-signing systems, carrier websites, USPS resources, or other services that are owned or operated by third parties. These third-party websites and services are not under ITI's control.

ITI provides third-party links and integrations only for convenience, information, order processing, proofing, payment, shipping, mailing, or related business purposes. ITI does not control, endorse, sponsor, or assume responsibility for any third-party website, service, content, product, policy, practice, representation, or transaction.

Your use of any third-party website or service may be governed by that third party's own terms, conditions, privacy policy, and other rules. You are responsible for reviewing and complying with those terms before using any third-party website or service.

 

Indemnity

You agree to indemnify, defend, and hold harmless ITI and its parent companies, subsidiaries, affiliates, officers, directors, shareholders, employees, agents, suppliers, representatives, licensors, and service providers from and against any and all claims, demands, actions, damages, losses, liabilities, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • Your breach of these Terms and Conditions;
  • Your use of ITIDIRECTMAIL.NET or any products or services provided by ITI;
  • Any customer content, artwork, text, photographs, graphics, images, mailing lists, data, instructions, or other materials you submit, upload, approve, authorize, or provide to ITI;
  • Any claim that customer content or other materials provided by you infringe, misappropriate, or violate any copyright, trademark, trade secret, right of publicity, privacy right, contractual right, or other right of any third party;
  • Any false, inaccurate, incomplete, unlawful, or unauthorized information, mailing list, address data, payment information, order instruction, or approval provided by you;
  • Any mail piece, campaign, mailing list, offer, advertisement, claim, representation, or communication created, approved, authorized, or submitted by you;
  • Your violation of any federal, state, or local law, rule, regulation, postal requirement, privacy requirement, marketing requirement, or industry guideline; or
  • Claims or losses caused by inaccurate addresses, undeliverable mail, USPS or carrier handling issues, or third-party claims when those issues arise from information, materials, mailing lists, instructions, or approvals that you provided to ITI.

ITI reserves the right to control the defense and settlement of any claim subject to indemnification, and you agree to cooperate with ITI in defending such claims.

 

Customer Content

For certain products and services, you may upload, email, submit, provide, approve, or otherwise make available to ITI artwork, designs, text, photographs, graphics, images, logos, mailing lists, address data, instructions, messages, documents, or other materials for use in connection with an order or service request ("Customer Content").

You are solely responsible for all Customer Content you provide, submit, approve, or authorize. By providing Customer Content to ITI, you represent and warrant that you own or have the necessary rights, licenses, permissions, and authority to use and provide the Customer Content, and that ITI may use it to prepare proofs, produce printed products, process mailing lists, perform mailing services, complete orders, provide customer support, and otherwise fulfill the services requested by you.

You agree that Customer Content must not be unlawful, false, misleading, defamatory, obscene, threatening, abusive, invasive of privacy, infringing, unauthorized, harmful, malicious, or otherwise objectionable. Customer Content must not contain viruses, malware, corrupted files, or other code or material that may interfere with ITI's website, systems, production equipment, services, or operations.

ITI does not have an obligation to pre-screen Customer Content, but ITI reserves the right to review, reject, remove, refuse to process, or refuse to complete any order involving Customer Content that ITI believes may violate these Terms and Conditions, applicable law, postal requirements, third-party rights, or ITI's production standards.

ITI may preserve, disclose, or provide Customer Content when required by law, legal process, postal authority, payment processor requirement, carrier requirement, or when ITI believes in good faith that doing so is reasonably necessary to enforce these Terms and Conditions, respond to claims, protect ITI's rights or property, protect customers or the public, or complete or document an order or service.

ITI does not maintain Customer Content indefinitely. Customer Content may be deleted, become unavailable, or be irretrievable after an order is completed, after any retention period stated on the website, or after the period reasonably determined by ITI. You are responsible for keeping your own copies of all artwork, files, mailing lists, documents, approvals, and other Customer Content submitted to ITI.

 

Format of Customer-Submitted Artwork or Content

Unless otherwise stated in ITI's file preparation guidelines, customer-submitted artwork, designs, images, and print files should be provided in CMYK color mode, at a minimum resolution of 300 DPI, and in the file format, size, bleed, margin, and layout specifications required for the product ordered.

You are responsible for ensuring that all artwork and files are properly prepared before submission. ITI is not responsible for fuzzy, distorted, blurry, pixelated, improperly sized, improperly formatted, or incorrectly laid out printing caused by customer-submitted artwork, images, files, or content.

ITI is not responsible for color shifts, print variations, or unexpected results caused by converting RGB, PMS Pantone, spot colors, black, near-black, gray tones, transparency, overprint settings, or other file elements to CMYK or to ITI's production workflow. Color shifts from perceived black, gray, or other colors must be addressed by you before file submission.

Additional fees may apply if customer-submitted files are incorrectly prepared, require correction, require reformatting, or do not comply with ITI's published instructions, product specifications, file preparation guidelines, or knowledge base requirements.

 

Color Proofing and Matching

Digital proofs are provided to help review layout, text, image placement, image proportion, and general design appearance. Digital proofs are not intended to guarantee exact color, ink density, paper appearance, coating appearance, transparency effects, overprint behavior, or final printed output.

Colors shown on screens, digital proofs, customer devices, and software previews may differ from the final printed product. Final color may be affected by many factors, including file setup, color mode, paper stock, coatings, ink, press conditions, production method, calibration, registration, line screens, and the difference between proofing and production equipment.

ITI is not responsible for exact color matching, color shifts, ink density differences, or final color appearance unless a specific written color-matching agreement applies. If color is critical, you should request a hardcopy proof or other available proofing option when placing the order. Additional fees and additional production time may apply.

If you approve a digital proof, approve a hardcopy proof, or select a "Run As-Is," "No Proof," or similar option, you are responsible for the approved artwork, layout, text, images, and production choices, subject to any verifiable production error caused solely by ITI.

 

Use of Artwork, Images, and Templates

ITI may make available designs, templates, photographs, graphics, illustrations, images, artwork, or other visual materials that are owned by ITI or licensed from third-party licensors, copyright holders, or content providers ("ITI Artwork"). ITI Artwork may be used only as permitted by ITI and by the applicable license terms.

You may not use ITI Artwork in any manner that is unlawful, defamatory, obscene, pornographic, misleading, infringing, or otherwise objectionable, or in any manner that violates the rights of any person or third party.

You may not use ITI Artwork in a way that places any person depicted in the artwork in a false, misleading, offensive, defamatory, or unfavorable light. This includes, without limitation, use in connection with adult entertainment, tobacco products, dating services, political endorsements, pharmaceutical, healthcare, herbal, medical, personal hygiene, birth control, or similar products or services if the use implies that the depicted person endorses, uses, suffers from, or is associated with the product, service, condition, activity, or message.

You may not use ITI Artwork, in whole or in part, as a trademark, service mark, logo, trade name, business name, endorsement, or indication of origin, or falsely represent that you created or own ITI Artwork.

ITI may be required to provide licensors, copyright holders, or content providers with information about users who access or use ITI Artwork. By accessing or using ITI Artwork, you authorize ITI to provide your name, contact information, order information, and related usage information when required by applicable license terms or agreements.

If any specific license or agreement governing ITI Artwork conflicts with these Terms and Conditions, the applicable license or agreement will control to the extent of the conflict.

 

Proof Approval

You are responsible for carefully reviewing all proofs before approval. Proofs may be provided through ITI's website, ITI's internal proofing system, a third-party document or proofing platform selected by ITI, or another proofing method selected by ITI for the order.

A proof must be approved through the same proofing system or approval method provided by ITI for that proof. For example, if a proof is sent through a third-party proofing or document platform, approval must be completed through that same platform. If a proof is sent through ITI's internal proofing system, approval must be completed through that system, including any required electronic signature or approval step.

Verbal approval, fax approval, email approval, text message approval, or any separate communication referencing a proof is not valid unless ITI expressly provides that specific approval method for that order. A customer may not approve a proof by emailing, calling, faxing, or otherwise stating approval outside the proofing system when ITI has provided a designated approval system.

By approving a proof, you confirm that you have reviewed and accepted the proof, including the artwork, layout, text, spelling, grammar, names, addresses, phone numbers, URLs, QR codes, barcodes, images, colors subject to the Color Proofing and Matching section, quantities, mailing information, and all other visible elements and order details shown or referenced in the proof.

For orders involving mail merge, variable data, personalization, addressing, or mailing-list information, you are responsible for reviewing and cross-referencing the proof against your mailing list, data file, order instructions, and intended merge fields. This includes reviewing at least one or more sample records shown in the proof, such as names, addresses, salutations, personalized text, variable images, barcodes, QR codes, or other data-driven content, to confirm that the correct list, fields, records, formatting, and data are being used. Approval of the proof confirms that you accept the mail merge, variable data, personalization, addressing, and other data-driven content shown or referenced in the proof.

Once a proof is approved, the order may move immediately and automatically into production, printing, mailing preparation, or other processing. Approved proofs cannot be changed, canceled, or placed on hold unless ITI agrees in writing.

If ITI agrees to make a change, cancellation, or hold after proof approval, additional charges will apply. These charges may include, without limitation, re-proofing fees, setup fees, design or correction fees, production stop fees, reprint costs, material costs, postage or mailing preparation costs, labor costs, and any other costs incurred by ITI before or after the requested change.

You assume responsibility for all errors, omissions, or issues in approved proofs or in orders submitted as "Run As-Is," "No Proof," or similar options, including typographical errors, design errors, inferior image quality, incorrect layout, incorrect quantities, duplicate orders, incorrect mailing lists, incorrect addresses, incorrect shipping information, or other incorrect information or materials provided or approved by you.

Hardcopy proofs may be available for an additional fee and must be requested when the order is placed. Requesting a hardcopy proof may extend the time needed to complete the order.

 

Proprietary Rights

Except for Customer Content provided by you, all content, materials, features, software, templates, designs, graphics, images, text, data, logos, trademarks, service marks, trade names, and other materials available on or through ITIDIRECTMAIL.NET are owned by ITI or its licensors, suppliers, or content providers and are protected by copyright, trademark, trade dress, patent, trade secret, and other intellectual property and proprietary rights.

Nothing in these Terms and Conditions transfers any ownership right, title, or interest in ITIDIRECTMAIL.NET, ITI Artwork, ITI templates, ITI software, ITI content, ITI trademarks, or any related intellectual property to you. You may not copy, modify, reproduce, publish, distribute, transmit, display, sell, license, lease, create derivative works from, remove proprietary notices from, or otherwise exploit any ITI content or proprietary materials except as expressly permitted by ITI in writing.

ITI's names, logos, trademarks, service marks, trade names, and other brand identifiers may not be used, copied, reproduced, or displayed without ITI's prior written permission.

 

Mailing Documentation and Tracking

ITI does not automatically provide individual proof of mailing, USPS postage statements, carrier receipts, commingling records, drop-shipment records, or other mailing-entry documentation for each job.

If you require a USPS postage statement or other mailing documentation, you must request it before placing the order and before ITI begins processing the mailing list. Availability of such documentation depends on the type of job, size of the mailing, mailing class, mailing-list concentration, ZIP code distribution, USPS requirements, production method, mailing method, and whether the job is entered directly with USPS, provided to a third-party commingling provider, drop-shipped, or handled through another mailing process.

ITI determines the mailing method after receiving and processing the mailing list and evaluating the most efficient and appropriate way to prepare and enter the mail. Because the mailing method may not be known before list processing, ITI cannot guarantee that a USPS postage statement or other specific mailing documentation will be available for every order. Jobs submitted through a third-party commingling provider or certain other mailing methods may not have an individual USPS postage statement available.

USPS tracking, barcode tracking, or other mail tracking services may be available for certain products or mailing classes for an additional fee. Tracking must be requested and purchased before the order is placed and before mailing preparation begins. Tracking is not automatically included unless expressly stated in the order.

No refund, credit, cancellation, or reprint will be provided solely because mailing documentation, a USPS postage statement, carrier documentation, commingling documentation, drop-shipment documentation, or tracking was not requested in advance, was not purchased, was unavailable, or was not generated for the selected mailing method.

 

Return and Replacement Policy

All products manufactured, printed, prepared, mailed, or otherwise produced by ITI are custom-made and produced to order based on customer specifications, customer content, approved proofs, order selections, and customer instructions. Due to the custom nature of these products and services, returns, cancellations, refunds, credits, or replacements are not available except in the event of a verifiable production error caused solely by ITI.

Any claim alleging a production error must be submitted to ITI in writing through ITI's online support system within six (6) business days after receipt of the order. Claims submitted after this period may not be considered.

If ITI determines that a verifiable production error occurred and the issue can be substantiated remotely through digital files, photographs, written documentation, or other evidence requested by ITI, ITI may, at its sole discretion, issue a corrective reprint, replacement, or other corrective action.

If the alleged error cannot be reasonably verified remotely, ITI may require the return of part or all of the merchandise for inspection by ITI's quality control department. A Return Merchandise Authorization (RMA) may be required. No compensation, corrective action, reprint, replacement, refund, or credit will be provided until the inspection is complete and ITI determines that a verifiable production error caused solely by ITI occurred.

Upon verification of an ITI production error, ITI's sole obligation and the customer's exclusive remedy shall be limited to replacement, corrective reprint, or other corrective action determined by ITI. ITI is not responsible for lost business, lost marketing impact, missed mailing dates, response rates, consequential damages, or other losses arising from an alleged or verified production issue.

 

Exclusions From Claims

The following items, conditions, and services are excluded from eligibility for return, refund, credit, replacement, or reprint:

  • Errors, omissions, or issues in customer-supplied content, artwork, files, mailing lists, address data, instructions, or order information;
  • Typographical errors, spelling mistakes, grammar issues, design flaws, incorrect layout, incorrect images, incorrect contact information, incorrect URLs, incorrect QR codes, incorrect barcodes, or other issues contained in an approved proof;
  • Low-resolution, blurry, fuzzy, distorted, pixelated, improperly prepared, improperly formatted, or incorrectly sized artwork or files supplied by the customer;
  • Color variation, color shift, ink density differences, coating appearance, paper appearance, or other normal print-production variation;
  • Products produced in conformity with a proof, order, file, mailing list, instruction, or "Run As-Is" / "No Proof" selection approved or submitted by the customer;
  • Completed or partially completed mailing services, including list processing, addressing, sorting, presorting, traying, strapping, commingling, transportation, drop shipment, USPS entry, or delivery to USPS or another carrier;
  • Postage, mailing charges, carrier charges, commingling charges, drop-shipment charges, or mailing-related costs once incurred, committed, purchased, processed, or paid;
  • Delays, delivery failures, undeliverable mail, address inaccuracies, USPS handling issues, carrier handling issues, or third-party mailing issues; and
  • Duplicate orders, incorrect quantities, incorrect shipping addresses, incorrect billing information, or other customer-submitted errors.

 

Cancellation Policy

Orders may not be canceled, refunded, changed, or placed on hold after a proof has been approved, after an order has been submitted as "Run As-Is," "No Proof," or a similar option, or after the order has entered production, printing, mailing preparation, list processing, postage processing, or other fulfillment activity.

Because ITI's workflow may move approved orders immediately and automatically into production or mailing preparation, a cancellation, hold, or change request submitted after proof approval may not be possible. If ITI agrees in writing to cancel, hold, or change an order after proof approval or after production activity has started, additional charges will apply. These charges may include, without limitation, cancellation fees, setup fees, design fees, correction fees, production stop fees, reprint costs, material costs, labor costs, postage or mailing-related costs, and any other costs incurred by ITI.

If an order has been placed, paid for, and customer files or mailing lists have been uploaded or submitted, ITI may begin processing the order, reviewing files, processing mailing lists, setting up artwork, preparing production, or creating proofs immediately. If the order is still in pending status and ITI has not started processing, setup, proofing, design, list processing, production preparation, or other work, ITI may allow cancellation or changes without a cancellation fee.

If ITI has started processing, setup, proofing, design review, list processing, production preparation, or other work, a $45 cancellation fee will apply if the customer requests cancellation before proof approval. This fee applies even if the proof has not yet been sent to or received by the customer.

Graphic design services, artwork setup services, file correction services, list processing services, mailing list purchases, postage, mailing charges, and other services already performed or costs already incurred are not refundable.

ITI is not responsible for duplicate orders, incorrect orders, or unintended orders placed or authorized due to customer error.

 

Mailing List Return Policy

Mailing list purchases are final once the customer has approved the mailing list order, criteria, quantity, pricing, or order confirmation and payment has been submitted or authorized. After customer approval and payment, ITI may request or purchase the mailing list from its third-party list vendor, and the purchase cannot be canceled, refunded, credited, exchanged, returned, or replaced.

Mailing lists are digital assets obtained from third-party list vendors based on the criteria, selections, instructions, and information approved by the customer. Once ITI requests or purchases the list from the vendor, the vendor does not provide a refund to ITI, and ITI cannot provide a refund or credit to the customer, except to the extent ITI determines, in its sole discretion, that a verifiable error was caused solely by ITI.

You are responsible for carefully reviewing all mailing list criteria, quantities, geography, demographics, business categories, consumer categories, pricing, and other selections before approving the order and submitting or authorizing payment.

All mailing list purchases are also governed by ITI's List Rental Terms and any applicable List Rental Agreement, order confirmation, or list provider requirements.

 

Overprint and Underprint Policy (Offset Press Only)

For products printed on an offset press, ITI cannot guarantee that the exact quantity ordered will be produced or delivered. Offset press orders may result in an overrun or underrun of up to five percent (5%) of the quantity ordered.

This policy applies only to products printed on an offset press. It does not apply to digitally printed products or mailing orders unless expressly stated in the order confirmation.

 

Production Turnaround Time

Production turnaround times shown on ITIDIRECTMAIL.NET, in FAQs, product pages, order communications, or customer service communications are estimates only unless ITI expressly states in writing that a specific production deadline is guaranteed.

Production turnaround time refers only to the time estimated for ITI to produce the order after all required customer content, artwork, files, mailing lists, order information, payment, approvals, and any required proof approval have been received. Production turnaround time ends when the order is completed by ITI and is ready for pickup, tendered to a shipping carrier, delivered to USPS, provided to a commingling provider, released for drop shipment, or otherwise completed by ITI according to the selected product or service.

Production turnaround times are subject to applicable cutoff times, which may vary by product, service, production method, mailing method, or other order requirements. Current cutoff times may be stated on ITIDIRECTMAIL.NET, in the FAQs, on product pages, or in other order-related instructions. If all required materials, payment, information, and approvals, including final proof approval when required, are received before the applicable cutoff time, that business day may count as the first production turnaround day. If they are received after the applicable cutoff time, production turnaround time will begin on the next business day.

Saturdays, Sundays, and federal holidays do not count as production turnaround days unless ITI expressly states otherwise in writing.

Production turnaround time does not include shipping transit time, USPS processing time, mail delivery time, carrier delivery time, commingling provider processing time, drop-shipment transit time, or the time required for mail pieces to be delivered to recipients. Delivery dates, in-home dates, mailbox arrival dates, and carrier delivery dates are not guaranteed unless ITI expressly states otherwise in writing.

ITI will make commercially reasonable efforts to complete orders within estimated production turnaround times, but estimates are not guarantees. Nothing in this section limits any rights that may apply under applicable law. Where required by law, ITI will provide delay notices, cancellation options, refunds, or other remedies in accordance with applicable requirements.

 

Mailing Services

Customer mailing lists, while in ITI's possession, remain the property of the customer and will be used only as necessary to perform the services requested by the customer. ITI will not sell customer mailing lists or offer them for use by any other party.

ITI's responsibility for mailing services is limited to preparing the mailing according to the selected product or service and tendering, delivering, releasing, or otherwise providing the mail pieces to USPS, a shipping carrier, a commingling provider, a drop-shipment provider, or another applicable mailing or transportation provider. ITI's responsibility ends when the mail pieces are tendered, delivered, released, or otherwise provided to the applicable provider.

All mailing delivery dates, in-home dates, mailbox arrival dates, and carrier delivery dates are estimates only and are not guaranteed unless ITI expressly states otherwise in writing. ITI is not responsible for USPS performance failures, USPS processing delays, carrier delays, commingling provider delays, drop-shipment delays, delivery failures, undeliverable mail, address inaccuracies, or any damages or losses resulting from failure to receive mail pieces by a particular date.

 

Postage and Mailing Charges

For simplicity, amounts shown or charged as "postage" may include more than the actual postage paid to USPS or another carrier. Depending on the product and mailing method, this amount may also include related mailing preparation and handling costs, including list processing, presorting, traying, strapping, commingling, transportation, drop shipment, carrier charges, payment processing costs, and other services required to prepare and enter the mail. ITI combines these costs into a single postage or mailing charge for customer convenience, and the amount charged is not intended to represent the exact amount paid directly to USPS.

 

Transfer of Title and Risk of Loss

For products shipped to you or to another destination you designate, title and risk of loss transfer to you when ITI delivers the products to the shipping carrier, makes the products available for pickup, or otherwise releases the products for shipment. Unless ITI expressly states otherwise in writing, shipping terms are F.O.B. shipping point.

ITI is not responsible for loss, damage, delay, or delivery failure caused by shipping carriers after products have been tendered to the carrier, except to the extent otherwise required by applicable law or expressly agreed by ITI in writing.

For mailing-service orders, ITI's responsibility is governed by the Mailing Services section.

 

List Rental Terms

You may purchase or rent mailing lists from ITI that contain names, postal addresses, phone numbers, business information, consumer information, or other data matching criteria selected, approved, or provided by you ("List"). Unless otherwise stated in the applicable order confirmation or List Rental Agreement, ITI grants you a limited, non-exclusive, non-transferable license to use the List only for the number of uses, purpose, term, and marketing campaign approved in the order.

All List data is provided "as is." ITI does not guarantee the accuracy, completeness, deliverability, response rate, conversion rate, marketing performance, or results of any List.

Public-Record List Products

ITI offers some public-record list products. These products may include publicly available information and may be sourced from public-record sources or public-record data providers. ITI does not add non-public consumer data, append emails or phone numbers, create profiles, or enrich those public-record products unless expressly disclosed. Customers must use all Lists lawfully and only for approved purposes. Certain list products may also be subject to a separate list agreement, data agreement, order confirmation, or provider-specific terms.

 

Use and Restrictions for List Rentals

Unless otherwise stated in writing, the following restrictions apply to all Lists:

  • The List may be used only for direct mail solicitations or other permitted uses expressly approved in the order;
  • The List may be used only for your benefit and only for the number of uses permitted in the order;
  • The List may not be resold, brokered, transferred, shared, disclosed, sublicensed, published, posted, or made available to any third party;
  • The List may not be copied, reproduced, retained, or stored except as reasonably necessary for backup, security, or the approved use;
  • The List may not be used to create, enhance, clean, append, verify, publish, maintain, or develop any list, database, directory, lookup service, data product, or marketing product;
  • The List may not be used for individual credit, employment, insurance, housing, eligibility, lending, tenant screening, background screening, or any purpose regulated by the Fair Credit Reporting Act or similar laws;
  • The List may not be used in a way that refers to, reveals, or implies sensitive selection criteria, presumed knowledge about the recipient, or the source of the recipient's name, address, or other information;
  • The List may not be used outside the United States or its territories, and may not be transferred outside the United States or its territories, without written authorization from ITI;
  • You must use the List in compliance with all applicable federal, state, and local laws, postal rules, privacy laws, marketing laws, industry guidelines, and list provider requirements; and
  • You are responsible for the content, legality, compliance, and appropriateness of all mail pieces, offers, advertisements, claims, and communications using the List.

 

Records and Audit

You must maintain current, accurate, and complete records relating to your use of the List for at least twelve (12) months after each marketing communication. These records must include sample mail pieces, advertising copy, communications using the List, and the states or geographic areas to which communications were sent.

ITI, its list provider, or their designated representatives may audit your use of the List and related records upon at least five (5) business days' written notice during normal business hours.

 

Term of Use

Unless otherwise stated in the applicable order confirmation or List Rental Agreement, the List may be used for the shorter of the term stated in the order or twelve (12) months from the date of rental. Any unused right to use the List expires at the end of the applicable term.

 

Force Majeure

ITI shall not be liable for any delay, failure to perform, interruption of services, production delay, mailing delay, shipping delay, or delivery delay caused by circumstances beyond ITI's reasonable control, including without limitation acts of God, natural disasters, fire, flood, earthquake, epidemic, pandemic, war, terrorism, civil unrest, government action, labor disputes, strikes, postal authority actions or failures, USPS service disruptions, carrier failures, commingling provider failures, drop-shipment provider failures, supplier failures, material shortages, equipment failures, power outages, internet failures, telecommunications failures, payment processor failures, or any other cause beyond ITI's reasonable control.

In the event of a force majeure event, ITI's affected performance obligations under these Terms and Conditions will be suspended for the duration of the event to the extent affected by the event. ITI will make commercially reasonable efforts to resume performance as soon as practicable.

Except to the extent otherwise required by applicable law, a force majeure event does not entitle you to a refund, credit, cancellation, reprint, or other remedy for amounts already paid or costs already incurred for work performed, materials purchased, postage incurred, mailing charges incurred, third-party costs incurred, or services rendered before or during the event.

 

Governing Law and Venue

These Terms and Conditions, your use of ITIDIRECTMAIL.NET, and any order, product, or service provided by ITI shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law rules.

To the fullest extent permitted by law, any claim, dispute, action, or proceeding arising out of or relating to these Terms and Conditions, ITIDIRECTMAIL.NET, any order, product, service, customer content, proof, mailing list, mailing service, or transaction with ITI shall be filed and adjudicated only in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction and venue of those courts and waive any objection to such jurisdiction or venue.

These Terms and Conditions are not governed by the United Nations Convention on Contracts for the International Sale of Goods, which is expressly excluded.

ITIDIRECTMAIL.NET is operated from the State of California in the United States. ITI does not represent that the website or its products and services are appropriate or available for use outside the United States. These Terms and Conditions apply to all users of ITIDIRECTMAIL.NET regardless of their location. To the fullest extent permitted by law, if you access or use ITIDIRECTMAIL.NET from outside the United States, you do so at your own risk and are responsible for compliance with applicable local laws.
